REAL ESTATE TRANSACTIONS
Commercial Real Estate Ownership and Development: We represent clients in the acquisition, development, financing, leasing and/or disposition of undeveloped land, office buildings, business parks, planned unit developments, apartments, hotels and shopping centers. Our clients include large national developers, merchant builders, institutional owners, smaller regional and local firms, lenders and equity investors. This practice area encompasses the preparation and negotiation of sale contracts, financing documents, fee development agreements, asset management agreements, property management agreements, brokerage agreements, declarations and reciprocal easement agreements, public and private easements, and construction contracts.

Real Estate Finance: We represent clients in loan originations, loan restructurings, loan participations, foreclosures and REO property dispositions. Our clients in this practice area include national and regional banks and bank subsidiaries, developers, owners, life insurance companies, permanent lenders and equity investors.

Leasing: We represent clients in the preparation and negotiation of commercial leases. This encompasses office leases and retail leases, including full building leases, ground leases, space leases, warehouse leases, anchor retail leases, lease assignments and subleases, and short term license agreements. We have negotiated leases with Fortune 500 companies, high-tech companies, professional practices, national and regional retail anchor tenants, and countless local businesses.

Construction Law: We represent owners, contractors, construction managers, developers, design professionals, and suppliers in all aspects of the construction process, including bidding and document preparation, contract negotiation and formation, contract performance, financing and warranty issues, mechanics and materialmen liens, and claims and dispute resolution.

TRIAL PRACTICE
Civil Litigation: We represent clients in all facets of the litigation process, beginning with advising clients on what action to take prior to the commencement of a litigation proceeding, from the commencement of a civil suit through trial and in any appeal that follows a final verdict. We practice in the state and federal courts in Washington, D.C, Maryland, Virginia and nationwide.

Collection and Seizure of Assets: We represent clients in collecting debts and otherwise using the legal process to seize assets in satisfaction of claims and monies owed to our clients. This ranges from the initiation of pre-judgment remedies such as Court-ordered attachments and preliminary injunctions, through post-judgment collection actions. We advise clients as to their rights when debtors hide or fraudulently convey assets to avoid payment of debts and judgments.

Bankruptcy Law: We represent clients both in the capacity as creditors and debtors in bankruptcy proceedings. We represent lenders, property owners, and other institutions in protecting their property and financial interests as affected by a bankruptcy proceeding, whether it be a Chapter 11, Chapter 7 or Chapter 13 proceeding. Our attorneys practice in the bankruptcy courts in Washington, D.C., Maryland and Virginia and nationwide as needed by our clients.

GENERAL CORPORATE LAW
Business and Tax Planning and Commercial Law: We represent clients in the formation of business entities, including the drafting and negotiations of organizational documents, partnership agreements, operating agreements and shareholder agreements, and related tax-planning issues. This encompasses advising our clients regarding directors' and officers' liability, dissolution, reorganization, franchising, trade association membership, mergers, acquisitions, divestitures, business sales, business successions, shareholders' rights and matters of Federal, State and local taxation.

Employment Law: Employment law covers a complex network of laws that control how employers must treat employees, former employees, and applicants for employment. We counsel both employers and employees regarding their respective rights and obligations under common law principles and various state and federal regulatory schemes, including employment discrimination, affirmative action, sexual harassment, employee benefits, wrongful discharge and employment contracts.
